AthleticsArc Terms of Service

These Terms are an agreement between the adult user and BJC Ventures LLC, doing business as AthleticsArc (called AthleticsArc, we, us, or our below). By creating an Account, accepting an invitation, starting a trial, or using the service, the user agrees to the version presented at that time and the Privacy Policy.

AthleticsArc Accounts are for adults age 18 or older who can enter this agreement. Youth athletes do not receive Accounts or participate in messaging in the current service. If a user acts for a Team, school, club, park, organization, or family, the user represents that they have authority to act in that role.

Each human should use one canonical AthleticsArc Account/Person identity. A single person may be both a coach and guardian and may participate in multiple Teams and products. The user must provide accurate adult Account information, protect credentials, and promptly report suspected unauthorized access.

Account purpose, descriptive staff titles, Team governance roles, product subscriptions, guardian relationships, and resource permissions are separate. Choosing a purpose or title does not grant access. Platform Administrator authority is never self-selected.

Team Owners and authorized staff are responsible for managing staff access, roster information, coaching content, and Team invitations. Guardians must have appropriate authority to manage or connect an athlete profile. Users may not use a relationship to access another Team, athlete, family, or private room.

As between the user and AthleticsArc, users retain ownership of original content they create, subject to Team, employer, league, school, and third-party rights. Team content may remain associated with the Team after a staff member leaves. Duplicated or transferred Plays may retain provenance identifying their source.

Users grant AthleticsArc a limited, non-exclusive license to host, store, reproduce, format, render, transmit, back up, and otherwise process content only as needed to operate, secure, support, and improve the service and create outputs the user requests. This license does not give AthleticsArc ownership of the content.

Users represent that they have the rights needed to upload or share content, logos, background marks, and information. AthleticsArc may preserve revisions, audit history, and soft-removal records to maintain safety, provenance, and Team continuity.

Messages, Coaches Room, Locker Room, announcements, reactions, acknowledgements, and related notifications are adult features. Athlete records may provide authorized context, but a youth Account or athlete identity may not send, receive, join, query, or be notified about messages.

Users must communicate lawfully and respectfully. Private guardian–staff conversations contain only their authorized participants; administrators are not silently added. Reported content may be reviewed only through an authorized moderation, safety, support, or legal process. AthleticsArc may rate-limit, restrict, preserve, or soft-remove content when reasonably necessary for safety, abuse prevention, policy enforcement, or law.

An eligible adult coach may explicitly activate one seven-calendar-day FootballArc evaluation per canonical Account and product. No card is required. A trial includes the capabilities shown during activation; locked capabilities remain discoverable but cannot be used. Changing a preferred plan, creating another identity, or accepting another invitation does not restart a trial.

FootballArc Basic, Pro, and Team have the features described at purchase. A preferred plan personalizes guidance but does not grant access or begin billing. One paid subscription covers one specific FootballArc Team. Multiple Teams require separate subscriptions.

FootballArc Team includes five operational staff seats, counting the Primary Owner, active ordinary staff, and pending ordinary staff invitations. Additional seats may be purchased. Guardians, athletes, Platform Administrators, and External Mentors do not consume operational staff seats. A Team must reduce active and pending billable staff before reducing below current use.

Trial expiry, downgrade, cancellation, failed payment, Team archive, or relationship changes may lock or limit features. AthleticsArc preserves content and history rather than silently deleting or reassigning it, subject to these Terms and the Privacy Policy.

Paid subscriptions are purchased through Stripe-hosted Checkout. Monthly and annual subscriptions renew automatically at the price and interval disclosed before Checkout unless canceled. Taxes may be added where required. Stripe—not AthleticsArc—collects full payment-card details.

A Checkout return page does not itself grant access. Paid capability begins only after AthleticsArc verifies authoritative paid subscription or invoice status through signed Stripe events. Upgrades and added seats may take effect immediately with prorated charges. Approved downgrades and seat reductions take effect at the next renewal. AthleticsArc does not automatically issue prorated refunds.

Cancellation and refunds: users may cancel anytime. Access continues through the already-paid period, and cancellation prevents the next renewal. Completed charges are generally nonrefundable except when law requires a refund or AthleticsArc verifies a billing error. Exceptional refunds may be handled manually through Stripe.

A failed payment may receive the displayed grace period before paid capabilities are restricted. Restriction does not delete customer work. Team ownership changes do not silently transfer the payer’s payment method or billing responsibility.

Users may not:

• access, probe, enumerate, or expose another Account, Team, athlete, guardian, private room, or administrative area without authorization;
• tamper with invitations, sessions, identities, permissions, subscriptions, webhooks, usage limits, or security controls;
• use the service for harassment, exploitation, unlawful discrimination, grooming, sexual content involving minors, threats, fraud, spam, or illegal activity;
• submit passwords, reusable tokens, medical information, or unnecessary youth data to public forms or support channels;
• upload malware, executable or deceptive files, infringing material, or content the user lacks authority to use;
• scrape, reverse engineer, disrupt, overload, or resell the service except as law expressly permits;
• misrepresent affiliation, authority, athlete/guardian relationships, or product access.

FootballArc is in beta. Features, interfaces, limits, and availability may change, and interruptions or defects may occur. We work to preserve content and enforce access boundaries, but we do not promise uninterrupted or error-free service. Public trial enrollment may be paused for capacity or safety without ending existing trials, paid access, guardian access, or valid invitations.

We may maintain, replace, suspend, or discontinue a feature or product. When reasonably practical, we will provide notice of a material change and a way to retrieve or preserve customer content that the current product supports.

AthleticsArc and its licensors own the service, software, designs, original symbols, names, documentation, and other materials we provide, excluding user content. These Terms grant a limited, revocable, non-transferable right to use the service for its intended purpose during authorized access.

If a user sends ideas or feedback, the user grants AthleticsArc permission to use them without restriction or compensation, while we will not treat private Team or youth content as product feedback merely because it is stored in the service.

The service depends on providers including Supabase, Vercel, and Stripe. Their services and terms may apply to the functions they provide. AthleticsArc is not responsible for a third party’s independent service or policy, but we remain responsible for choosing and configuring providers consistent with our obligations.

Users may stop using the service and may cancel paid subscriptions as described above. AthleticsArc may restrict or suspend access when reasonably necessary to address a Terms violation, security risk, fraud, abuse, legal obligation, unpaid subscription after an applicable grace period, or loss of the relationship that authorized access.

We will not use suspension to silently transfer ownership or erase Team, athlete, guardian, Playbook, Practice, message, or billing history. Provisions that by their nature should survive—such as ownership, payment obligations, disclaimers, liability limits, indemnity, and dispute terms—continue after termination.

To the extent permitted by law, the service is provided “as is” and “as available.” AthleticsArc disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted or error-free operation. AthleticsArc is a coaching and Team-operations tool, not medical, legal, safeguarding, or emergency advice.

To the extent permitted by law, AthleticsArc and its members, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost opportunity, or loss caused by unauthorized conduct outside our reasonable control. Our aggregate liability arising from the service will not exceed the greater of amounts paid for the affected Team during the twelve months before the event or US $100.

These exclusions and limits do not apply where prohibited, including liability that cannot lawfully be limited. Mandatory consumer protections in a user’s jurisdiction remain in effect.

To the extent permitted by law, a user or organization using AthleticsArc for a Team agrees to defend and indemnify AthleticsArc against third-party claims arising from that user’s unlawful content, misuse of the service, violation of another person’s rights, or material breach of these Terms. This does not require an individual consumer to indemnify AthleticsArc where prohibited by law.

Alabama law governs these Terms, without regard to conflict-of-law rules. A dispute not resolved informally may be brought in state or federal courts with jurisdiction in Baldwin County, Alabama, and the parties consent to that venue. This version does not require arbitration and does not contain a class-action waiver.

Mandatory consumer protections and any non-waivable rights in a user’s home jurisdiction remain preserved. Nothing in these Terms prevents either party from seeking appropriate emergency or injunctive relief.

We may update these Terms as the service or law changes. The current page will show a version and date. When a material change requires renewed agreement, AthleticsArc may require the adult user to review and affirmatively accept the new version. Optional marketing consent remains separate and is not required to use the service.
